1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into agreements. If you are using the Services on behalf of a business or organization, you represent and warrant that you are authorized to bind that entity to these Terms.

2. Services Provided

Topupmate provides technology and business tools to enable bill payment operations, including but not limited to:

• Build: White‑label bill payment websites and mobile apps.
• Connect: APIs for airtime, data, utilities, and other bill payment services.
• Reward, Boost, Storefront, Academy: Additional tools to help customers acquire, retain, and engage users.

Some services may require additional agreements, approvals, or licenses. Availability may vary by country.

3. User Responsibilities

By using Topupmate, you agree to:

• Provide accurate and complete registration and business information.
• Maintain the confidentiality of your account credentials and promptly notify us of any unauthorized access.
• Use the Services lawfully and comply with applicable regulations (including KYC/AML requirements).
• Ensure funds and permissions for transactions processed through your account.

You must not:

• Use the Services for fraudulent, illegal, or unauthorized activities (including money laundering or financing illegal acts).
• Reverse‑engineer, decompile, or attempt to extract source code or proprietary information from the Services.
• Resell, sublicense, or redistribute the Services without our written consent.

4. Payments & Fees

Fees for products and services (e.g., Build, Connect) will be displayed at the point of purchase. All fees are payable in the currency specified and are non‑refundable unless otherwise stated. You are responsible for any taxes, duties, or similar charges imposed by tax authorities.

We may change fees from time to time. Material changes will be communicated in advance.

5. Intellectual Property

All content, software, designs, trademarks, and other intellectual property provided by Topupmate remain our exclusive property. We grant you a limited, non‑exclusive, non‑transferable license to use the Services for your internal business operations only.

6. Service Availability

We strive to provide reliable and secure Services but do not guarantee uninterrupted access. Scheduled maintenance, emergency repairs, or events outside our control may cause temporary downtime. We will make reasonable efforts to notify affected customers in advance when possible.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Topupmate will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
• Our total aggregate liability for direct damages arising from these Terms will be limited to the total fees paid by you to Topupmate in the six (6) months preceding the claim.

8. Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services for breaches of these Terms, unlawful use, or other reasons in our sole discretion. Upon termination, certain provisions (e.g., Intellectual Property, Limitation of Liability) will survive.

9. Privacy

Our Privacy Policy explains how we collect, use, and protect personal data when you use the Services. By accepting these Terms, you also consent to the processing described in the Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute related to these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

11. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Services. Continued use after such changes constitutes acceptance of the updated Terms.
